Terms of Use
These Terms of Use ("Terms") govern your access to and use of think4ei.com and the Think4Ei platform (together, the "Service"), operated by Think4Ei LLC ("Think4Ei," "we," "us"). By creating an account, subscribing to a paid tier, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
The Service
Think4Ei is a multi-tenant platform of business-intelligence and operations systems (spanning functions such as fiscal management, grants, learning, compliance, HR, and others), delivered as software-as-a-service, along with a public marketing site, pricing/signup flow, and AI-assisted informational tools (savings estimator, "Talk to Eli" chat). Features vary by subscription tier as described on our Pricing page, and we may add, change, or retire features over time as the platform evolves.
Accounts, tiers & billing
- You must provide accurate information when creating an account and keep your credentials confidential.
- Free-tier accounts are provisioned immediately at no cost, subject to the usage limits described on the Pricing page.
- Paid tiers are billed through Stripe; by subscribing you authorize recurring charges at the then-current rate for your selected plan until you cancel. You can manage or cancel a subscription through the Stripe billing portal linked from your account page.
- Fees are non-refundable except where required by law or expressly stated otherwise at signup.
- Some paid tiers may be in limited or test-mode availability during rollout; where that is the case, the signup flow will tell you directly rather than silently charging a card.
Acceptable Use Policy
You agree not to, and not to permit any user under your account to:
- Use the Service to violate any applicable law or regulation, or the rights of any third party (including intellectual property, privacy, or data-protection rights).
- Attempt to gain unauthorized access to any account, tenant, system, or data not belonging to you, including through credential stuffing, scanning, or exploiting a vulnerability rather than responsibly disclosing it (see Security Reporting).
- Probe, scan, or test the vulnerability of the Service except through the coordinated process described in our Security Reporting policy.
- Upload or transmit malicious code, or attempt to disrupt, degrade, or overload the Service (e.g. denial-of- service activity, excessive automated scraping).
- Use the Service to generate, store, or distribute content that is unlawful, defamatory, harassing, or that infringes another party's rights.
- Misrepresent your identity or affiliation, or impersonate another person or organization.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service except where applicable law expressly permits it notwithstanding this restriction.
- Resell, sublicense, or provide access to the Service to a third party outside your organization without our written consent, except as expressly enabled by a feature designed for that purpose.
- Use output from the Service's AI-assisted features as the sole basis for a consequential legal, financial, medical, hiring, or compliance decision without human review — see AI Disclosure.
We may suspend or terminate access for conduct that violates this Acceptable Use Policy, with notice where practicable, and without notice where we reasonably believe immediate action is necessary to protect the Service or other users.
AI features
Certain features are powered by AI models operated by a third-party provider under contract, accessed through our own server-side systems. AI-generated or AI-assisted output can be incomplete, outdated, or incorrect, and is provided for informational purposes — it does not constitute legal, financial, medical, or other professional advice. Intellectual property
The Service, including its software, design, trademarks (including "Think4Ei" and "4Ei"), and documentation, is owned by Think4Ei LLC or its licensors and protected by intellectual-property law. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You retain ownership of the data and content you or your organization submit to the Service ("Your Data"); you grant us a limited license to host, process, and display Your Data solely to provide the Service to you.
Your data & client data
Where Think4Ei processes personal information on behalf of a client organization as part of the platform (as opposed to the public website), that processing is governed by our Data Processing Agreement, which takes precedence over these Terms for that data. Public-website visitor data is governed by our Privacy Policy.
Disclaimers
The Service is provided "as is" and "as available." We work to keep it reliable and secure, and we describe our real, current controls honestly at our Trust Center rather than making blanket guarantees — to the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Service will be uninterrupted, error-free, or immune from vulnerabilities discovered in the future.
Limitation of liability
To the fullest extent permitted by law, Think4Ei LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us for the Service in the twelve months preceding the claim, except where a separately executed written agreement (such as a signed DPA or enterprise services agreement) expressly states otherwise.
Termination
You may cancel a paid subscription at any time through the billing portal; cancellation takes effect at the end of the current billing period unless stated otherwise. We may suspend or terminate your access for a material breach of these Terms, including the Acceptable Use Policy, or if required by law. Upon termination, provisions that by their nature should survive (intellectual property, disclaimers, limitation of liability, governing law) will survive.
Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles, and any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, except where a separately executed enterprise agreement states otherwise.
Changes
We may update these Terms from time to time. We will update the "Last reviewed" date above; for material changes affecting existing paid subscribers, we will provide reasonable advance notice.
